Covius to Acquire Title365 from Blend

Covius Services LLC has signed a definitive agreement to acquire Title365 Holding Co. from Blend Labs Inc. a digital origination platform for banks, credit unions and mortgage lenders.
Terms of the deal were not disclosed. The transaction is subject to certain required third-party consents and regulatory approvals. It is expected to close in the coming months.
"Covius has long been a market leader in providing a broad set of services to the mortgage industry,” said Rob Clements, chairman and CEO of Covius. “Title365 will further expand and scale Covius' presence in the origination title space and complement our strength in loss mitigation and default title. This acquisition aligns with our strategy of delivering a full range of tech-enabled products and services across the origination, servicing and capital market sectors."
Title365, which was founded in 2009 by a group of settlement service veterans to offer a combination of centralized product fulfillment, including title, escrow and default services, is a division of Xome, a real estate services company providing integrated end-to-end solutions. In 2014, Solutionstar Holdings LLC, an indirect wholly-owned subsidiary of Nationstar Mortgage Holdings, purchased Title365 for $36 million. In 2017, Stewart Information Services acquired the retail branch division of Title365 Company. Title365’s retail division operates primarily in Southern California. In 2021, Blend purchased Title365 from Mr. Cooper for nearly $500 million.
In addition to servicing its own client base, Title365 will continue to partner with Blend to provide integrated title and closing services for Blend customers. Kirby Hulbert, president of Title365, and his team will join Covius' settlement services team, according to the companies.
